Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client,” “you”), and Cornerstone Smith, located in Dos Hermanas, Talisay City, Negros Occidental, Philippines (“Company,” “we,” “us,” or “our”), concerning your access to and use of the https://cornerstonesmith.com website and our specialized development services.

1. The Service: Specialized Development

Cornerstone Smith provides a white-label, subscription-based development service focused exclusively on the Themeco Cornerstone/Pro ecosystem.

  • Scope: Services are limited to Figma/XD to Cornerstone conversions, header/footer builds, Looper/ACF integration, and technical builder optimizations.

  • White-Label Status: We act as your "silent partner." We claim no credit for the work, and all deliveries are unbranded.

2. Subscription Plans & Management

  • The Queue: Upon subscribing, you may add as many requests to your Trello board as you wish.

  • Execution: Requests are handled one at a time (or two for Agency Max). We do not begin a new task until the current active task is approved or moved to "Review."

  • Turnaround: Estimates (1–4 days) apply to standard tasks. Large-scale builds (e.g., full site migrations) will be divided into smaller sub-tasks to maintain flow.

3. Billing, Pause & Cancellation

  • Billing: You will be billed monthly on the date of your initial signup.

  • The "Pause" Feature: You may pause your subscription at any time. A "billing cycle" is 31 days. If you use the service for 11 days and then pause, you will have 20 days of service remaining in your "bank" to be used at any time in the future.

  • Cancellations: You may cancel at any time. Access to the service and the Trello queue will remain active until the end of your current paid billing period.

  • Refunds: Due to the digital nature of the work and the immediate allocation of resources, no refunds will be issued once work has commenced.

4. One-Page Test Drive

The "1-page Test Drive" is a one-time, non-recurring service.

  • It is limited to the conversion of a single landing page or section from a provided Figma/XD design.

  • This service is non-refundable once the build has started.

5. Client Responsibilities & Licensing

  • Assets: You must provide high-fidelity designs (Figma/XD), copy, and necessary media. Work cannot begin on a task until all assets are present.

  • Licensing: The Client is responsible for providing a valid Themeco Pro or X Theme license for every site we work on. Cornerstone Smith does not provide software licenses.

  • Third-Party Tools: Costs for premium plugins (e.g., ACF Pro, Gravity Forms) are the responsibility of the Client.

6. Ownership & Intellectual Property

  • Work Product: Once full payment for the month is confirmed, all rights to the code, templates, and configurations created for you are transferred to you (the Client).

  • Portfolio Rights: We will not use your client projects in our portfolio or marketing materials without your explicit, written consent.

7. Limitation of Liability

Cornerstone Smith is a development resource, not a project management or strategy firm.

  • Direct Client Contact: We never communicate with your end-clients. You are responsible for all client-facing management and final QA.

  • Post-Delivery: We are not liable for site breaks caused by future WordPress core updates, third-party plugin conflicts, or client-side edits made after a task is marked "Complete."

8. Governing Law

These Terms shall be governed by and defined following the laws of the Philippines. Cornerstone Smith and yourself irrevocably consent that the courts of Negros Occidental shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
